Terms of Service

Welcome to Nexus, an auto shop management platform operated by ACH ADVERTISING ("we," "us," or "our"). By accessing or using Nexus (the "Service"), you agree to be bound by these Terms of Service ("Terms").

1. Acceptance of Terms

By creating an account or using Nexus, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Nexus provides auto shop management software including:

  • Digital job card management
  • Customer and vehicle databases
  • Invoicing and payment tracking
  • Inventory management
  • Team collaboration tools
  • End-of-day reporting
  • WhatsApp notifications

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Nexus.

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use
  • We reserve the right to suspend or terminate accounts that violate these Terms

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and keep it updated.

4. Subscription and Payment

4.1 Subscription Plans

Nexus offers the following subscription tiers:

  • Trial: 30-day free trial with 3 users and 50 job cards per month
  • Starter: $199 TTD/month with 3 users and 100 job cards per month
  • Pro: $349 TTD/month with 5 users and 200 job cards
  • Business: $599 TTD/month with 10 users and unlimited job cards

4.2 Payment Terms

  • Subscriptions are billed monthly in Trinidad and Tobago Dollars (TTD)
  • Payment is due at the start of each billing period
  • We use WiPay for payment processing
  • All fees are non-refundable except as required by law

4.3 Trial Period

  • New users receive a 30-day free trial
  • Trial includes limited features: 3 users, 50 job cards/month
  • No credit card required to start trial
  • Trial automatically expires after 30 days unless upgraded

4.4 Subscription Changes

  • You may upgrade or downgrade your plan at any time
  • Changes take effect immediately upon payment
  • Downgrades may result in loss of features or data

4.5 Cancellation

  • You may cancel your subscription at any time
  • Cancellations take effect at the end of the current billing period
  • No refunds for partial months

4.6 Price Changes

  • We may change subscription prices with 30 days' notice
  • Price changes apply to the next billing cycle
  • Continued use after price change constitutes acceptance

5. Use of Service

5.1 Permitted Use

You may use Nexus solely for managing your auto shop business in accordance with these Terms and applicable laws.

5.2 Prohibited Activities

You may not:

  • Violate any laws or regulations
  • Infringe intellectual property rights
  • Upload malicious code or viruses
  • Attempt to gain unauthorized access to our systems
  • Use the Service to store or transmit illegal content
  • Resell or redistribute the Service
  • Reverse engineer or decompile the Service
  • Use automated systems to scrape or access the Service
  • Impersonate others or provide false information
  • Interfere with other users' access to the Service

6. User Content

6.1 Your Data

You retain all rights to the data you upload to Nexus, including customer information, job cards, invoices, and related records.

6.2 License to Us

You grant us a limited license to store, process, and display your data solely to provide the Service.

6.3 Data Responsibility

  • You are responsible for the accuracy and legality of your data
  • You must have permission to upload customer data
  • You must comply with data protection laws, including GDPR and applicable local privacy laws

6.4 Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of critical data.

7. Intellectual Property

7.1 Our Rights

Nexus, including all software, designs, text, graphics, and other content, is owned by ACH ADVERTISING and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use Nexus for your business purposes.

7.3 Trademarks

"Nexus," the Nexus logo, and other marks are trademarks of ACH ADVERTISING. You may not use our trademarks without prior written permission.

8. Privacy and Data Protection

8.1 Privacy Policy

Our Privacy Policy explains how we collect, use, and protect your information. By using Nexus, you agree to our Privacy Policy.

8.2 Data Processing

We process customer data on your behalf. You are the data controller, and we are the data processor.

8.3 Data Security

We implement industry-standard security measures to protect your data. However, no system is completely secure.

9. Service Availability

9.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access.

9.2 Maintenance

We may perform scheduled maintenance with advance notice when possible.

9.3 No Warranty

The Service is provided "as is" without warranties of any kind, express or implied.

10. Limitation of Liability

10.1 Limitation

To the maximum extent permitted by law, ACH ADVERTISING shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or data
  • Service interruptions or errors
  • Third-party actions

10.2 Maximum Liability

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ACH ADVERTISING from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Content you upload to the Service

12. Third-Party Services

12.1 Integrations

Nexus may integrate with third-party services including WiPay, Google, Apple, and WhatsApp. Your use of these services is subject to their terms.

12.2 No Responsibility

We are not responsible for third-party services or their actions.

13. Termination

13.1 By You

You may terminate your account at any time through the Settings page or by contacting support.

13.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent activity
  • Your account is inactive for 12+ months
  • Required by law

13.3 Effect of Termination

  • Your access to the Service will cease
  • We will retain your data for 30 days, then delete it
  • You may request a data export before deletion

14. Modifications to Terms

We may update these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

15. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

16. Governing Law

These Terms are governed by the laws of Trinidad and Tobago. Any disputes shall be resolved in the courts of Trinidad and Tobago.

17. Dispute Resolution

17.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@achadvertising.com.

17.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in Trinidad and Tobago.

18. General Provisions

18.1 Entire Agreement

These Terms constitute the entire agreement between you and ACH ADVERTISING regarding the Service.

18.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

18.3 No Waiver

Our failure to enforce any right does not constitute a waiver of that right.

18.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

18.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
